- Service / Platform refers to Stocka, a POS and inventory management software provided as a service.
- User / You refers to any individual or business authorized to use the Service.
- Business Data refers to all information entered into the system, including sales, inventory, customers, suppliers, and reports.
2. Eligibility
You must have legal authority to act on behalf of a business entity to use the Service.
By using Stocka, you confirm that all information provided is accurate and that you are authorized to operate the account on behalf of your business.
3. User Accounts
- You are responsible for maintaining the confidentiality of your login credentials.
- You must not share your account or impersonate another person or business.
- We are not responsible for unauthorized access resulting from your failure to secure your credentials.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful or fraudulent activities
- Interfere with system security or functionality
- Upload malicious code or attempt unauthorized access
- Misrepresent your business or data
5. Intellectual Property & Ownership
All software, systems, designs, branding, and content within Stocka are the exclusive property of Inventaire Technologies Limited.
By using the Service:
- You are granted a limited, non-exclusive, non-transferable license to use Stocka for your business operations
- You do not own the software, source code, or underlying system
- Purchasing or subscribing to Stocka does not transfer any ownership rights
You retain full ownership of your Business Data.
6. Data Ownership & Responsibility
You are solely responsible for:
- The accuracy of all data entered into the system
- Compliance with applicable laws regarding customer and transaction data
- Any decisions made based on reports or outputs from the system
7. Payment and Pricing
Access to the Service may include:
- One-time license fees
- Setup and onboarding costs
- Optional service or integration fees depending on your business needs
Pricing will be communicated before activation of the Service.
Failure to complete payment may result in suspension or termination of access.
8. Offline Functionality
Certain features of Stocka, including Point of Sale, may function offline.
- Data captured offline will sync once internet connectivity is restored
- We are not responsible for delays, discrepancies, or data conflicts caused by synchronization or connectivity issues
9. Third-Party Services
The Service may depend on third-party providers such as:
- Payment processors (e.g., M-Pesa integrations)
- Government systems (e.g., eTIMS)
- Messaging platforms (e.g., WhatsApp)
We are not responsible for delays, failures, or changes in third-party systems.
10. Data Protection
Your use of the Service is also governed by our Privacy Policy, which explains how we collect and process your data in accordance with the Kenya Data Protection Act, 2019.
11. Service Availability
We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation.
Temporary downtime may occur due to maintenance, updates, or external dependencies.
12. Support
Support is provided primarily through remote communication channels.
On-site support may be provided at our discretion depending on the nature of the issue.
13. Termination
We may suspend or terminate your access if you:
- Violate these Terms
- Fail to make required payments
- Misuse the Service
Upon termination:
- You will lose access to the Service
- We may retain data for legal, operational, or accounting purposes
- You may request export of your Business Data before closure
14. Disclaimers
The Service is provided on an "as is" and "as available" basis.
We do not guarantee:
- Error-free operation
- Zero downtime
- That the Service will meet all business expectations or requirements
We are not liable for business losses, loss of data, or indirect damages arising from use of the Service.
15. Limitation of Liability
To the maximum extent permitted by law, Inventaire Technologies Limited shall not be liable for:
- Loss of revenue or profits
- Data loss or corruption
- Business interruption
- Indirect or consequential damages
16. Governing Law
These Terms are governed by the laws of Kenya.
Any disputes shall first be resolved through good-faith negotiation, and if unresolved, through arbitration in Nairobi, Kenya under applicable arbitration laws.
17. Changes to Terms
We may update these Terms from time to time.
Continued use of the Service after changes are published constitutes acceptance of the updated Terms.
